2.2 Account Registration

If you wish to purchase products for resale, please contact us at hulivillc@gmail.com for wholesale terms. Reselling HULIVI products without express written permission is prohibited. We reserve the right to cancel bulk orders that appear to be for commercial resale.

3. Product Descriptions, Pricing & Availability

3.1 Product Descriptions

We strive to make product descriptions, images, specifications, and size charts as accurate as possible. However, we do not warrant that product descriptions or other content on hulivi.shop are error-free, complete, or current. Colors may vary due to monitor settings, lighting, and photography. If a product offered by HULIVI does not match its description (beyond minor variations), your sole remedy is to return it under our Refund and Return Policy.

3.2 Pricing

All prices listed on hulivi.shop are in United States Dollars (USD) . Prices are subject to change without notice, but changes will not affect orders that have already been accepted (see Section 4). We strive to ensure accurate pricing, but errors may occur. If we discover a pricing error for an item you have ordered, we will notify you and give you the option to reconfirm at the correct price or cancel your order.

Sales tax: For orders shipped within Florida, applicable state sales tax will be added at checkout. For all other US states and international destinations, no sales tax is collected by HULIVI. International customers are responsible for any customs duties, import taxes, or VAT levied by their country.

3.3 Availability & Backorders

Product availability is displayed on each product page. However, “in stock” is a real-time estimate and not a guarantee. If an item becomes unavailable after you place an order, we will notify you within 2 business days and offer:

  • A full refund for the out-of-stock item.

  • Substitution with a similar item (if you agree).

  • Store credit or backorder with estimated restock date (if applicable).

We are not liable for unavailability of any product.

3.4 Limit Per Customer

We reserve the right to limit quantities per customer, per address, or per order for any reason. This includes limiting the number of identical items or preventing resellers from depleting our inventory.

4. Orders, Payment Processing & Acceptance

4.1 Order Submission

When you place an order on hulivi.shop, you are making an offer to purchase the products in your cart. We are not obligated to accept your offer. Order acceptance occurs only when we send you a shipment confirmation email. Until that email is sent, we may cancel your order for any lawful reason (e.g., product unavailability, pricing error, suspected fraud).

4.2 Order Confirmation vs. Acceptance

Please understand: the order confirmation email (sent immediately after checkout) is an acknowledgment that we received your order, not an acceptance. Acceptance happens when the order ships. This means we may cancel your order even after you receive a confirmation if we discover a problem.

4.3 Payment Processing

All payments are processed through Stripe, a secure third-party payment processor. By placing an order, you authorize HULIVI to charge your selected payment method (credit/debit card, Apple Pay, Google Pay) for the total amount shown at checkout. You represent that you are authorized to use the chosen payment method.

We do not store full credit card numbers – Stripe handles all sensitive data. Our Payment Methods page provides additional details on security.

4.4 Fraud Prevention & Verification

We reserve the right to screen orders for fraud. We may request additional verification (e.g., photo ID, proof of billing address) before processing an order. Failure to provide such verification may result in order cancellation.

4.5 Right to Cancel

We may cancel any order for reasons including but not limited to:

  • The product is out of stock.

  • The pricing or product description contained an error.

  • Your payment method is declined or flagged as fraudulent.

  • We suspect the order is for commercial resale without authorization.

  • You violate these Terms.

If we cancel your order after payment, we will issue a full refund to your original payment method within 3-5 business days.

5. Shipping, Delivery & Title Transfer

5.1 Shipping Policy

Our Shipping Policy (separate page) details shipping methods, costs, estimated delivery times, and international customs. By placing an order, you agree to the terms of that policy. Key points summarized here:

  • We ship to addresses in all 50 US states and internationally (over 40 countries).

  • Estimated delivery times are not guaranteed but are our best-faith estimates.

  • Title and risk of loss transfer to you when the carrier accepts the package. This means that if a package is lost or damaged after shipment, you may need to file a claim with the carrier, though we will assist as a courtesy.

5.2 Lost or Stolen Packages

If tracking shows “delivered” but you did not receive the package, please contact the carrier first. If the carrier cannot resolve, email us within 5 days of “delivered” status. We will investigate but are not obligated to refund or replace packages marked delivered unless the carrier confirms a delivery error.

5.3 International Shipping & Customs

For international orders, you are the importer of record. You are responsible for:

  • All customs duties, taxes, and fees levied by your country.

  • Complying with your local import laws.

  • Providing accurate delivery address and phone number for customs.

If you refuse to pay customs duties or refuse delivery, the package may be abandoned or returned to us. In such cases, we will refund the product price minus all shipping costs (both original and return) and any customs fees we incurred. This can result in a very small refund – so please check your local import rules before ordering.

6. Returns, Refunds & Exchanges (Summary)

THE SITE AND ALL PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

HULIVI LLC DOES NOT WARRANT THAT:

  • DEFECTS WILL BE CORRECTED.

  • THE SITE OR OUR SERVERS ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

  • PRODUCTS WILL MEET YOUR EXPECTATIONS BEYOND THE EXPRESS WARRANTY IN OUR REFUND POLICY.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HULIVI LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, PERSONAL INJURY, OR PROPERTY DAMAGE ARISING FROM YOUR USE OF THE SITE OR PURCHASE OF PRODUCTS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR PURCHASE SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO HULIVI LLC FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM IN THE 12 MONTHS PRECEDING THE EVENT.

15. Termination & Account Suspension

15.1 Termination by You

You may terminate your account at any time by emailing hulivillc@gmail.com. Termination will not affect any orders already placed or any liabilities that accrued before termination.

15.2 Termination by Us

We may suspend or terminate your access to hulivi.shop and your account, with or without notice, for any reason including:

  • Violation of these Terms.

  • Fraud or abuse.

  • Non-payment.

  • Extended inactivity (over 12 months).

Upon termination, you must cease all use of the Site, and we may delete your account data subject to legal retention requirements. Any pending orders may be cancelled and refunded.

16. Governing Law & Dispute Resolution (Mandatory Arbitration)

16.1 Governing Law

These Terms and any dispute arising from them shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

16.2 Mandatory Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHTS AND REQUIRES YOU AND HULIVI LLC TO ARBITRATE DISPUTES RATHER THAN GOING TO COURT BEFORE A JUDGE OR JURY.

Any dispute, claim, or controversy arising out of or relating to these Terms, your use of hulivi.shop, or any products purchased – including the validity, enforceability, or breach of this arbitration provision – shall be resolved exclusively by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules in effect at the time.

Exceptions: Either party may bring an individual action in small claims court (if the claim qualifies) or seek injunctive relief in a court of competent jurisdiction to prevent intellectual property infringement.

Arbitration Location: The arbitration will be held in Pinellas County, Florida, or via telephone/video conference if the parties agree.

Class Action Waiver: YOU AND HULIVI LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person’s claims or preside over any class proceeding.

Costs: HULIVI will pay the AAA filing fee and arbitrator costs for claims totaling less than $10,000 (unless the arbitrator finds your claim frivolous). You are responsible for your own attorneys’ fees unless otherwise provided by law.

Opt-Out Right: You may opt out of this arbitration provision by sending a written notice to hulivillc@gmail.com within 30 days of first using the Site or making a purchase. The notice must include your name, address, and a clear statement that you opt out of arbitration. If you opt out, you retain the right to bring claims in court, but all other Terms remain in effect.

16.3 Statute of Limitations

Any claim arising from these Terms or your purchase must be filed within one year after the claim arose, or it is permanently barred.

17. Force Majeure

HULIVI LLC shall not be liable for any delay or failure to perform caused by circumstances beyond our reasonable control, including but not limited to: acts of God, war, terrorism, riot, fire, explosion, flood, epidemic, pandemic, government orders, labor strikes, supplier failures, shipping carrier interruptions, or internet outages. In such events, we will make reasonable efforts to resume performance as soon as practicable.

18. Severability & Waiver

18.1 Severability

If any provision of these Terms is found by a court or arbitrator to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid provision shall be reformed to the minimum extent necessary to make it enforceable while preserving the parties’ intent.

18.2 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of HULIVI LLC.

19. Entire Agreement & Modifications

19.1 Entire Agreement

These Terms, together with our Privacy Policy, Shipping Policy, Refund and Return Policy, and Payment Methods page, constitute the entire agreement between you and HULIVI LLC regarding your use of the Site and purchase of products. They supersede any prior agreements, communications, or proposals, whether oral or written.

19.2 Modifications

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to hulivi.shop, with the “Last Updated” date revised.
